BOARD OF DIRECTORS MEETING NOTES
October 7, 2019

- CALL TO ORDER
- Meeting was called to order at 7:00p.
- Quorum was met based on number of board members in attendance.
- COMMUNICATION
- Stephanie Hilgefort has agreed to type up meeting notes at future board meetings.
- One other board member, selected at the onset of each meeting, will also take notes at each meeting to ensure all details are captured.
- Board meeting notes will be shared with the PNS Ski Patrol body after each monthly meeting.
- Meeting notes will be posted to the PerfectNorthSkiPatrol.com website.
- Meeting notes will be sent out in the Sunday evening email blast.
- During ski season, meeting notes will be posted in the aid room (TBD on location).
- Link to meeting notes will also be posted in Humanity app.
- POLICIES & PROCEDURES
- The board is reviewing the Policies and Procedures document to be updated with latest procedures.
- Paula Osorio presented her format for the new and improved policies and procedures document. The board provided inputs. Paula to update the formatting and share back with the board to update with their designated sections of the policies and procedures document.
- Each Board member was assigned a specific section of the current Policies & Procedures document to review for accuracy and efficiencies. Each Board Member provided initial thoughts regarding each section. New template is being shared out for each member to layout the updated version of their section for further review.
- BYLAWS
- Members of the board including Alex Herrmann, Chris Greenwood, Stephanie Hilgefort, and Phyllis Mauntel met to review the current Bylaws and presented proposed updates. Changes included:
- The board will consist of a minimum of 6 and no more than 9 Board Members.
- Nominations for new board members will be opened in March of each year for a period of 2 weeks. Number of nominations must exceed the number of open board positions.
- Members of the board including Alex Herrmann, Chris Greenwood, Stephanie Hilgefort, and Phyllis Mauntel met to review the current Bylaws and presented proposed updates. Changes included:
- For every board member that is nominated, there must be a non-current board member nominated.
- Nominations will come from general patrol body for Board to review and select nominees.
- Candidates will be voted on by the general patrol where majority votes will become the new board members.
- The voting will be held electronically for a period of two weeks.
- Kim Durrm made a motion to eliminate current Bylaws and to adopt the new Patrol Governance document; seconded by Phyllis Mauntel. Board was all in favor.
- UPCOMING BOARD MEETINGS
- Board Meetings occur on the second Tuesday of every month.
- Next Board Meeting will be held on Tuesday, November 12, 2019.
